End-user licence agreement

1. Licence

We grant you a non-exclusive, non-transferable licence to use TIATool for your internal business purposes:

• Paid licences: all features, for the licence term, by one named engineer per seat, on one PC at a time.
• A virtual machine counts as that PC. Remote access by the licensed engineer is allowed; sharing one seat between several people is not.

2. Restrictions

You may not sell, rent, sublicense or provide TIATool as a service to third parties; circumvent or tamper with licence checks; or decompile or reverse engineer it except where the law expressly permits this (including for interoperability under the EU Software Directive).

3. Siemens and other third-party software

TIATool works with Siemens TIA Portal through the TIA Portal Openness interface installed on your computer. It contains no Siemens software. You need your own valid licences for TIA Portal, Openness and any other product it works with, and you are responsible for complying with their licence terms. TIATool is an independent product, not affiliated with or endorsed by Siemens AG. Open-source components are licensed under their own licences, listed with the software.

4. AI systems and review of output

TIATool executes the actions that an AI client of your choice requests, under your control. AI output, generated code and automated changes can be incorrect or incomplete. You must have every change reviewed and tested by a qualified engineer before it is downloaded to a controller or used on any machine, plant or safety function. Never use TIATool on safety-related (F) programs without your own validation according to the applicable safety standards. The AI provider you use processes data under its own terms.

5. What depends on your project

Siemens does not open all of TIA Portal. Some calls depend on the project, the panel and the TIA version, and the assistant says when one cannot be done. Try an unfamiliar change on a copy of a project.

6. Data

The software runs on your computer and sends no telemetry. It contacts our licence server only to activate, refresh and deactivate a licence; see the privacy notice. Your projects and everything the software writes remain yours.

7. Warranty

For paid licences we warrant that the software materially performs as described in its documentation during the licence term. If it does not, we will fix the defect or, if we cannot within a reasonable time, refund the fees for the affected period. Otherwise the software is provided “as is” to the extent the law allows.

8. Liability

Our total liability under this agreement is limited to the fees you paid in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, including lost production, downtime, damage to equipment caused by unreviewed changes, lost profit or lost data. These limits do not apply to intent, gross negligence, death or personal injury, or where the law does not allow them.

9. Term

A paid licence ends with its subscription; the software then refuses to run its tools until a licence is active again. We may end this agreement if you materially breach it. Sections 3, 4, 7 and 8 survive termination.

10. Export control

You comply with applicable export control and sanctions laws when using or transferring the software.

11. Governing law

The laws of the Republic of Estonia apply; disputes are settled by Harju County Court in Tallinn, unless mandatory law provides otherwise. Questions: hello@truesmarttech.com.
